5. Stock Point Holder – Return, Refund & Stock Settlement

5.1 Stock Point Agreement Duration

The Stock Point Agreement between Kenzzveda Wellness Private Limited and the Stock Point Holder shall ordinarily be valid for a period of One (1) Year from the effective date mentioned in the agreement. The agreement may be renewed upon mutual consent of the Company and the Stock Point Holder, subject to the Company's applicable policies and terms.

5.2 Minimum Commitment Period

The Stock Point Holder acknowledges that the Stock Point arrangement involves inventory planning, product allocation, logistics, operational support and other business commitments by the Company.

Accordingly, the Stock Point Holder shall have a minimum commitment period of One (1) Year. During this one-year agreement period, the Stock Point Holder shall not be entitled to return or surrender the Company's saleable stock merely because the Stock Point Holder wishes to discontinue the business or does not wish to continue operating the Stock Point.

Accordingly, stock return/buy-back shall not ordinarily be permitted before completion of the one-year agreement period.

5.3 Return of Stock After One Year

After completion of the one-year agreement period, the Stock Point Holder may request closure of the Stock Point and return/buy-back of eligible unsold stock, subject to the Company's Stock Point Policy and verification/approval by the Company.

·        Have intact original packaging and labels.

·        Not be expired or damaged.

·        Meet the Company's applicable shelf-life and inventory conditions.

·        Be supported by valid invoices and stock records.

5.4 Stock Not Eligible for Return

·        Expired products.

·        Damaged, broken, leaking or otherwise unsaleable products.

·        Opened or used products.

·        Products with missing or damaged labels.

·        Products purchased from unauthorised sources.

·        Products without proper purchase records/invoices.

·        Products that do not meet the Company's applicable shelf-life requirements.

5.5 Exceptional Circumstances

Notwithstanding the one-year minimum commitment period, the Company may, at its discretion and subject to applicable law, consider an early closure, stock transfer, replacement or other settlement arrangement in exceptional circumstances, including circumstances arising from the Company's own operational decision or where otherwise required by applicable law. Such consideration shall not automatically create a right of early return for the Stock Point Holder.

5.6 Stock Point Closure

A Stock Point Holder intending to close the Stock Point after completion of the applicable commitment period shall provide written notice to the Company as prescribed in the Stock Point Agreement. The Company may conduct stock verification/audit before approving closure and final settlement.

6. Exchange Policy

Eligible products may be exchanged subject to product availability and verification by the Company. Exchange requests arising from wrong supply, verified manufacturing defects or transit damage may be considered in accordance with this policy.

7. Refund Policy

Where a refund is approved, the Company will process the eligible refund through the applicable payment method or another permitted method. Refunds are subject to verification and the applicable terms of the transaction.

The actual time for the amount to reflect in a customer's account may depend on the bank, payment gateway or financial institution.

8. Order Cancellation

Orders may be cancelled before dispatch, subject to the applicable terms. Once an order has been dispatched, cancellation may not be possible and the customer may need to follow the applicable return procedure.

9. Return Shipping

For verified cases involving defective products, wrong products or transit damage, the Company may bear or reimburse reasonable return shipping costs, subject to verification. For other types of returns, applicable shipping costs may be borne by the customer or Stock Point Holder, as permitted under the applicable terms.

10. Distributor / Direct Seller Returns

Returns, cancellations, buy-back and refunds relating to distributors/direct sellers shall also be governed by the Company's applicable Distributor Agreement, Code of Conduct, Compensation Plan and Direct Selling Policies.
